1. Agreement to Terms

By accessing or using PropPhoto's platform, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our platform. Our platform connects real estate agents with photographers, and by using our services, you acknowledge that PropPhoto acts solely as a platform facilitator and is not a party to any agreement between photographers and real estate agents.

2. Platform Description

PropPhoto provides a platform that enables:

• Real estate agents to find and connect with professional photographers
• Photographers to showcase their work and find clients
• Communication and booking management between parties
• Review and rating systems for quality assurance

3. User Accounts

When creating an account, you must:

• Provide accurate and complete information
• Maintain and update your information
• Keep your account credentials secure
• Notify us of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

4. Platform Rules

Users must not:

• Misrepresent their identity, qualifications, or location, including:
  • Using false identification documents
  • Claiming false professional credentials
  • Providing incorrect location information
  • Using VPNs or proxies to circumvent geographic restrictions
• Engage in fraudulent or deceptive practices, such as:
  • Creating multiple accounts
  • Submitting false portfolio work
  • Making false claims about services or pricing
  • Attempting to manipulate platform features or rankings
• Violate platform integrity:
  • Circumvent the platform's booking system
  • Share or sell account credentials
  • Use automated systems or bots
  • Scrape or copy platform content without permission
• Violate geographic restrictions:
  • Users must be legally authorized to work in the United States
  • Services must be performed within designated service areas
  • Payment methods must be from supported U.S. financial institutions
  • Users must comply with all applicable local and federal laws

PropPhoto reserves the right to:

• Immediately suspend or terminate accounts for any violation of these rules
• Report fraudulent activity to appropriate law enforcement authorities
• Conduct periodic verification checks of user information
• Require additional documentation to verify user identity or location
• Withhold platform access until verification requirements are met
• Share information about fraudulent accounts with other platforms or authorities

5. Booking and Payments

PropPhoto is strictly a technology platform that facilitates connections between photographers and real estate agents. Users explicitly acknowledge and agree that:

• PropPhoto is not a party to any agreement between photographers and clients, and does not act as an agent, broker, or intermediary for either party
• All service agreements, pricing negotiations, and payment terms are solely between photographers and clients
• PropPhoto makes no guarantees regarding:
  • Booking outcomes or successful completion of services
  • Quality of photography services provided
  • Timely payment by clients
  • Availability of photographers
• Users are solely responsible for:
  • Establishing their own payment arrangements and terms
  • Complying with applicable tax laws and regulations
  • Maintaining appropriate business insurance
  • Resolving any disputes between parties
• Platform subscription fees are entirely separate from photography service fees and are non-refundable

Cancellation and Dispute Resolution:

• Cancellation policies must be clearly communicated and agreed upon between parties before booking confirmation
• Any disputes regarding services, payments, or deliverables must be resolved directly between the photographer and client
• While PropPhoto may offer guidance or mediation tools, we are not obligated to intervene in disputes
• Users agree to release PropPhoto from any claims, damages, or losses arising from transactions, interactions, or communications between parties, whether occurring on or off the platform

Payment Processing:

• When using platform-provided payment tools (such as Stripe payment links), users acknowledge these are third-party services subject to their own terms and conditions
• PropPhoto does not handle, process, or escrow any payments for photography services
• Users are responsible for maintaining accurate payment information and resolving any payment-related issues
• Platform subscription fees are separate from photography service payments and are billed according to the selected subscription tier

6. Subscription Tiers and Features

PropPhoto offers different subscription tiers with varying features:

• Free tier with basic functionality
• Pro tier with enhanced features
• Business tier for team accounts

Feature availability and limitations are determined by your subscription tier. PropPhoto reserves the right to modify tier features and pricing with 30 days notice.

7. Account Verification

PropPhoto implements basic verification procedures to maintain platform integrity. Users understand and agree that:

• All users must provide accurate and verifiable information during registration, including:
  • Legal name and contact information
  • Valid email address
  • Location of service
  • Professional credentials (for photographers)
• Photographers must additionally:
  • Submit authentic portfolio samples
  • Provide accurate service area information
  • Maintain updated availability status
  • Represent their skills and experience truthfully
• PropPhoto reserves the right to:
  • Request additional verification at any time
  • Suspend accounts pending verification
  • Remove unverified or suspicious accounts
  • Update verification requirements as needed

Users acknowledge that PropPhoto's verification process:

• Is for basic account validation only and does not constitute an endorsement of any user
• Does not guarantee the quality, reliability, or legitimacy of any user or service
• May be updated or enhanced with additional requirements in the future
• Should not be relied upon as a complete assessment of any user's qualifications or abilities

8. Geographic Service Areas

PropPhoto currently operates in select U.S. markets. Users acknowledge:

• Market Availability:
  • Service is currently available in specific U.S. cities only
  • Users must verify their market's availability before registration
  • Platform expansion follows a controlled growth strategy
  • New market announcements will be made via official channels
• Service Area Requirements:
  • Photographers must physically operate within their declared service areas
  • Service areas must be accurately represented in profiles
  • Travel fees and policies must be clearly disclosed
  • Multiple service areas may require business tier subscription
• Compliance Requirements:
  • Users must possess all required local permits and licenses
  • Compliance with local real estate photography regulations
  • Adherence to property access and photography restrictions
  • Maintenance of appropriate business insurance coverage
• Market Restrictions:
  • PropPhoto may limit service areas based on market conditions
  • Service area changes require platform approval
  • Platform may verify physical presence in service area
  • False location claims will result in account termination

PropPhoto reserves the right to:

• Modify service areas without prior notice
• Require additional verification in specific markets
• Limit the number of photographers in any service area
• Adjust service area requirements by subscription tier
• Suspend services in any market at its discretion

9. Reviews and Ratings

Users agree to the following review guidelines:

• Reviews must be based on actual platform interactions
• Review content must be factual and non-discriminatory
• PropPhoto may remove reviews that violate guidelines
• Users may not manipulate or incentivize reviews
• Review metrics impact platform visibility and status

10. Service Level Agreement

Platform Commitments:

• Target platform uptime of 99.9%
• Support response within 24 hours
• Priority support for higher tier subscribers
• Regular platform maintenance and updates
• Data backup and security protocols

11. Force Majeure

PropPhoto shall not be liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to:

• Natural disasters or severe weather
• Pandemics or public health emergencies
• Government actions or regulations
• Network or power outages
• Cyber attacks or security breaches

12. Data Privacy and Portfolio Rights

Users retain ownership of their content while granting PropPhoto limited rights:

• Photographers grant PropPhoto permission to display portfolio images
• Platform may use portfolios for marketing with photographer credit
• User data is collected and stored per our Privacy Policy
• Data retention periods vary by subscription tier
• Users may request data export or deletion

13. User Interactions and Third-Party Conduct

PropPhoto does not control, and is not responsible for, the conduct, communications, or content of any user or third party. Users understand and agree that:

• Users interact with other users and third parties at their own risk, including the risk of fraudulent, deceptive, misleading, or unlawful conduct by others
• PropPhoto does not screen, monitor, or verify communications between users, including inquiries, messages, and booking requests
• PropPhoto is not liable for any loss or damage arising from interactions or communications between users, or between users and third parties, whether occurring on or off the platform
• Users are solely responsible for exercising reasonable caution and judgment when responding to inquiries, sharing information, or entering into agreements with other users
• Users agree to promptly report suspected fraudulent, deceptive, or unlawful activity to PropPhoto via the contact page

While PropPhoto may investigate reported conduct and take action against accounts that violate these terms, we are under no obligation to intervene in, or assume any liability for, disputes or harms arising from user or third-party conduct.

14. Disclaimers and Limitation of Liability

To the maximum extent permitted by applicable law:

• The platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement
• PropPhoto does not warrant that the platform will be uninterrupted, secure, or error-free, or that any information on the platform is accurate, complete, or current
• PropPhoto shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill, even if advised of the possibility of such damages
• PropPhoto's total aggregate liability for any and all claims arising out of or relating to these terms or use of the platform shall not exceed the greater of (a) the total fees paid by you to PropPhoto in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100)

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, PropPhoto's liability is limited to the greatest extent permitted by law. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless PropPhoto and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the platform; (b) your content, including portfolio images and reviews; (c) your violation of these terms; (d) your violation of any applicable law or the rights of any third party; or (e) any agreement, transaction, or dispute between you and another user.

16. Governing Law and Disputes

These terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles. Any dispute arising out of or relating to these terms or the platform that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Sweden.

If you are a consumer, nothing in this section affects any mandatory consumer protection rights available to you under the laws of your country of residence.

17. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes via email or platform notification. Continued use of the platform after changes constitutes acceptance of the new terms.
